By accessing and using the services provided by WiseMount Pvt Ltd ("WiseMount"), including our website (wisemount.in) and our core SaaS products (WiseStudio, WiseDR, MetroPai), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

2. Description of Services

WiseMount provides modular enterprise SaaS solutions tailored for businesses in various industries. These services may include booking systems, healthcare management, e-commerce tools, and associated modular platform features (CRM, ERP, HR, etc.). We reserve the right to update, modify, or discontinue any feature with reasonable notice.

3. User Accounts and Security

To access certain features of our platforms, you must register for an account. You are responsible for:

• Providing accurate and current registration information.
• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.

4. Subscription, Billing, and Payments

Select services use a subscription-based model. By subscribing, you agree to the following:

• Fees are billed according to your selected billing cycle (e.g., monthly or annually) and are non-refundable unless legally mandated.
• Secure payments are managed via recognized gateways like Razorpay; we do not store sensitive payment data.
• Taxes (such as GST for Indian businesses) apply per prevailing laws and are added to the invoice.

5. Expected Usage and Prohibited Conduct

You agree not to use our platforms to:

• Engage in illegal, fraudulent, or abusive activities.
• Interfere with or disrupt the integrity or performance of the services.
• Attempt to gain unauthorized access to our platforms or related systems.
• Resell the service without explicit partnership (Affiliate/Partner) authorization.

6. Intellectual Property Rights

All intellectual property rights in the WiseMount platform, its services, logos, text, and graphics, remain the exclusive property of WiseMount Pvt Ltd. You may not copy, modify, distribute, or create derivative works without our explicit, written consent.

7. Limitation of Liability

In no event shall WiseMount, its directors, employees, or agents be liable to you for any indirect, incidental, consequential, special, or exemplary damages arising from your use of the services. Our maximum aggregate liability under these terms is limited to the amount paid by you to us during the previous twelve (12) months.

8. Termination

We may suspend or terminate your access to our services if you violate these Terms of Service. You may cancel your subscription at any time via your account portal, effective at the end of the current billing cycle.

9. Governing Law

These terms shall be governed by and constructed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Tamil Nadu, India.
